1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "Customer") and Gravity Digital Solutions, LLC ("GDS," "we," "us," or "our"). By accessing this website, submitting an inquiry, entering into an engagement with us, or otherwise using any product or service we provide, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to do so and that the organization agrees to these Terms.

These Terms govern use of this website (gravitydigitalsolutions.com and any GDS-operated subdomain), our products (Neural Compress Pro, Neural Sentinel, and Neural Sentient), and our Professional Services engagements, collectively referred to as the "Service." Customer deployments of our products and Professional Services engagements are further governed by a signed Master Services Agreement ("MSA"), Statement of Work ("SOW"), or Data Processing Addendum ("DPA"). Where any such signed document conflicts with these Terms, the signed document controls for that engagement.

If you do not agree to these Terms, you must not access or use the Service. By using the Service, you represent that you are at least eighteen (18) years of age and have the legal capacity to enter into this agreement.

2. Description of Service

GDS designs and delivers AI systems and software for tolling, transportation, and infrastructure organizations. Our products are sold as business-to-business services under negotiated commercial agreements rather than through self-service consumer checkout, and they are tailored to each customer's operational scale, regulatory posture, and integration requirements.

Neural Compress Pro is a purpose-built image compression service for tolling and transportation imagery, delivered through a managed deployment that the customer integrates with its existing imaging pipeline. Neural Sentinel is an automated license-plate recognition and vehicle-attribute platform delivered either as a multi-tenant service operated by GDS or inside a customer-hosted environment, with operator workstations, a confidence-gated review queue, and integration endpoints defined per customer. Neural Sentient is a dynamic road-safety platform delivered as a bespoke deployment inside a transportation agency's cloud environment or a dedicated private tenancy, combining predictive risk modeling, digital-twin simulation, and outcome measurement. Professional Services engagements cover tolling integration, cloud infrastructure, data intelligence, and testing work, performed on a time-and-materials or fixed-fee basis under a signed Statement of Work.

Commercial terms, service levels, deployment environment, data retention, and integration scope for each product and each Professional Services engagement are defined in the applicable MSA, SOW, or DPA. These Terms describe the general framework that applies in addition to those signed documents.

3. Customer Accounts & Access Credentials

Access to our products is provisioned through authenticated accounts issued to the customer organization's operators, administrators, and integration users. Customers and their users are responsible for providing accurate registration information; for safeguarding credentials, API keys, and other access tokens; for all activity that occurs under their accounts; and for promptly notifying GDS of any suspected unauthorized access or security incident. We may suspend an account that we reasonably believe has been compromised or is being misused.

Customers may not share credentials with third parties, may not permit persons outside the organization to access the Service through their accounts, and may not provision accounts for individuals who do not have a bona fide operational need for access. Administrative settings, role assignments, and data-governance configurations are controlled by the customer within the permissions granted by the applicable agreement.

4. Fees, Invoicing & Payment

Fees for our products and Professional Services are set in the applicable MSA, SOW, or order form executed with the customer. Pricing is scoped to the customer's data volume, deployment environment, service levels, and support requirements, and is not published as standardized tiers on this website. All invoicing, payment milestones, late-payment consequences, taxes, and cancellation terms are defined in the signed commercial agreement for the engagement.

Except as expressly stated in a signed agreement, fees are non-refundable once earned, and prepaid fees for unused periods are not pro-rated upon early termination. In the event of a billing dispute, the customer must notify GDS in writing of the disputed amount within thirty (30) days of the invoice date; undisputed amounts remain due and payable.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you will not upload, process, or transmit content that is illegal under applicable law, including child exploitation material, non-consensual intimate imagery, or materials that facilitate violence, fraud, or terrorism; you will not use any GDS product or service to infringe the intellectual property, privacy, or publicity rights of others; you will not use outputs of Neural Sentinel or Neural Sentient — including license-plate reads, vehicle attributes, risk scores, or countermeasure recommendations — in a manner that violates applicable automated license-plate recognition, surveillance, civil-rights, anti-discrimination, or data-protection laws; and you will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, training data, or trade secrets of any GDS software or model, except to the extent such restriction is prohibited by applicable law.

You will not circumvent or attempt to circumvent any licensing, authentication, rate-limiting, or tenant-isolation mechanism; you will not share, resell, sublicense, or transfer account credentials, API keys, or access tokens to unauthorized third parties; you will not use automated systems, scrapers, or bots to access, probe, or overload the Service; you will not interfere with the integrity, availability, or performance of the Service, including by introducing malware, conducting denial-of-service attacks, or exploiting vulnerabilities; and you will not attempt unauthorized access to the Service, to other customer tenants, or to any related systems, networks, or data. You will comply with all applicable laws and regulations in your use of the Service.

We may investigate suspected violations of this section and take appropriate action, including removing offending content, suspending or terminating access, preserving relevant records, and cooperating with law enforcement where required or appropriate.

6. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology — including without limitation neural-network architectures and model weights, training pipelines, compression algorithms, recognition and classification detectors, risk-modeling and digital-twin simulation engines, source code, user-interface designs, documentation, and trade secrets — is owned by Gravity Digital Solutions and is protected by international copyright, trademark, patent, trade-secret, and other intellectual-property laws. No rights are granted to you by implication, estoppel, or otherwise, except for those expressly granted in these Terms or in a signed agreement.

You retain all ownership rights to content and data you submit, upload, or otherwise make available to the Service ("Customer Data"), including images, video, telemetry, operational records, and operator inputs. We do not claim ownership of Customer Data. By using the Service, you grant GDS a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and otherwise use Customer Data solely to provide, operate, secure, support, and improve the Service on your behalf. The scope of this license for a specific deployment, together with any rights to aggregated or de-identified data, is further defined in the applicable MSA, SOW, or DPA.

Subject to your compliance with these Terms and payment of applicable fees, GDS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of the applicable engagement. Seat counts, deployment environments, export rights, and integration rights for enterprise deployments are governed by the signed commercial agreement.

7. Warranty Disclaimer & Limitation of Liability

EXCEPT AS EXPRESSLY SET FORTH IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GDS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE IN EVERY CASE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GDS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF DATA, FROM COMPRESSION OUTCOMES, FROM LICENSE-PLATE OR VEHICLE-ATTRIBUTE CLASSIFICATION OUTCOMES, FROM RISK-MODEL PREDICTIONS OR COUNTERMEASURE RECOMMENDATIONS, AND FROM DELIVERABLES UNDER A PROFESSIONAL SERVICES ENGAGEMENT, EXCEPT AS EXPRESSLY WARRANTED IN A SIGNED AGREEMENT.

THE TOTAL AGGREGATE LIABILITY OF GDS FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO GDS FOR THE SPECIFIC OFFERING GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR, IF GREATER, ANY LIMIT EXPRESSLY AGREED IN A SIGNED AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS THESE LIMITATIONS APPLY TO THE GREATEST EXTENT PERMITTED BY LAW.

8. Privacy & Data Handling

Our collection, use, and disclosure of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. For enterprise deployments, the specific handling of Customer Data — including the deployment environment, processing purposes, retention windows, subprocessors, access controls, audit rights, and deletion obligations — is further defined in the applicable MSA and DPA.

GDS maintains administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, alteration, disclosure, and destruction. We use anonymized and aggregated telemetry about the operation of the Service to monitor performance, detect faults, and improve our models; the scope of that telemetry for a specific deployment is governed by the applicable agreement and, where required, by the customer's data-governance configuration.

9. Modifications

We may update these Terms from time to time to reflect changes in our practices, the Service, or the law. When we do, we will update the "Last Updated" date at the top of this page and, for material changes, provide reasonable advance notice through the Service or by direct communication where appropriate. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must discontinue use of the Service.

10. Term & Termination

These Terms remain in effect while you use the Service. Termination rights, notice periods, transition assistance, and data-return or deletion obligations for customer deployments of our products and for Professional Services engagements are governed exclusively by the applicable signed MSA or SOW.

GDS may suspend or terminate access to the Service, with or without notice, if we reasonably determine that you have breached these Terms, violated the Acceptable Use section, engaged in fraudulent or unlawful activity, failed to pay fees when due, or created a risk to the Service or to other customers. Upon termination for any reason, your right to use the Service immediately ceases. Provisions that by their nature should survive termination — including intellectual-property ownership, confidentiality, warranty disclaimers, limitation of liability, indemnity, and governing law — will survive.

11. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law principles. You agree to the exclusive personal jurisdiction of, and venue in, the state and federal courts located in Travis County, Texas, for any dispute arising out of or relating to these Terms or the Service, and you waive any objection to such jurisdiction or venue. Nothing in this section limits a party's right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
